Terms of Trade

1. Acceptance of Terms:
By engaging in business with MAKE SHOP LTD, the client acknowledges and agrees to comply with the Terms of Trade outlined herein.

MAKE SHOP LTD reserves the right to change these Terms of Trade and/or pricing without notice.

If you are purchasing on behalf of another entity, such as a company, you warrant that you have the authorisation to agree to these Terms of Trade on behalf of the entity.

All orders are subject to the availability of products or services.

If we fail to enforce any terms or exercise our rights under these Terms of Trade at any time, it does not waive those rights.

2. Change in Control:
The client shall give us a minimum of fourteen days written notice of any proposed change of ownership or any other changes in the client’s details. The client shall be liable for any loss incurred by us due to the failure to notify us of these changes.

3. Services Offered:
MAKE SHOP LTD provides the following services:
Laser cutting
Vinyl cutting
3D printing
3D scanning
Large format printing
CAD modeling services
Digital file setup services
Manufacturing and assembly
Design consultation

The client acknowledges that:
(a) any advice, recommendation, information, assistance or service provided by MAKE SHOP LTD in relation to products supplied is given in good faith, is based on our own knowledge and experience and shall be accepted without liability on the part of the MAKE SHOP LTD, and it shall be the responsibility of the client to confirm the accuracy and reliability of the same with considerations of the use to which the client makes or intends to make of the products; 
(b) MAKE SHOP LTD reserves the right to refuse any material or produce any products deemed illegal, objectionable, or in violation of copyright, patent, design, or statute.

4. Price:
All prices are in New Zealand Dollars and include GST unless stated otherwise. Prices may change without notice. We reserve the right to determine pricing rates based on the entity making payment – student, individual, or commercial. The pricing rate is determined by MAKE SHOP LTD.

5. Payment Terms:
Payment is due:
(a) on delivery of the products;
(b) before delivery of the products;
(c) by way of instalments as per an agreed payment schedule;
(d) for approved clients, twenty days following the end of the month in which a statement is emailed;
(e) on the date specified on any invoice.

An invoice will be emailed to you, and you are responsible for ensuring correct contact details.

6. Credit Card Security:
All credit card payments are processed via PayPal's secure system, subject to PayPal's terms and conditions. View PayPal's terms here.

7. Ordering Process:
Clients must submit written orders, specifying details and quantities. Variations on orders must be submitted in writing. MAKE SHOP LTD cannot be held liable for any information that is conveyed orally regarding an order.
The client is responsible for ensuring that any digital files they provide are accurate and adhere to our specifications. Although MAKE SHOP LTD may conduct checks or provide recommendations for a specific file, we do not take responsibility for the files provided by the client. In the event that a file is inaccurately configured or named, leading to a defective or unusable product, MAKE SHOP LTD explicitly disclaims any liability for the resulting outcome. The client shall assume full responsibility for covering all associated costs incurred for the service in such instances.

8. Intellectual Property and Confidentiality:
The client is hereby granted an exclusive license to use the copyright in any literary and/or artistic work authored by us for the purposes of the supply of the products, however the exercise of such license shall be conditional upon us having received all monies due to us under these terms of trade. 
The client warrants:
(a) Ownership or authorisation for the reproduction of supplied artistic and literary work.
(b) Indemnification of MAKE SHOP LTD against liability related to any breach of copyright.

9. Delivery and Turnaround Times:
Delivery dates and turnaround times are estimates. MAKE SHOP LTD will make reasonable efforts to meet deadlines but is not accountable for delays.

10. Material or Equipment Supplied by client:
If you provide materials or equipment for the products:
(a) We'll keep your items at your risk, and we will not be responsible for any loss of data on USB’s or other media you give us, except if it's because we didn't handle them properly. We won't be liable for damage, loss, or destruction of your items in our possession, unless it's due to our failure to take care of them.
(b) You need to provide enough materials to cover any potential waste.
(c) We are not responsible for any imperfections in the work caused by defects or unsuitability of the materials you provide.
If you leave your materials with us without specific instructions, we can dispose of them after one month, and we may keep any proceeds to cover our costs.

11. Quality Assurance and Returns:
Defects or issues must be reported within 7 days of receiving products or services. Refunds will be determined at the discretion of MAKE SHOP LTD.
3D printed objects are only guaranteed for use as prototypes. MAKE SHOP LTD does not guarantee their longevity or suitability for specific situations or uses. 
It is the client's responsibility to sample and test all fabricated parts thoroughly.

12. Cancellations:
Cancellation fees may apply based on the production stage.

13. Liability Limitation:
The Consumer Guarantees Act does not apply for business purposes. Conditions, warranties, and guarantees implied by statute or common law are excluded. Our liability is limited to the value of faulty products or services. We exclude liability for loss or damage of any kind.

14. Governing Law:
These terms apply regardless of your location. New Zealand law governs these terms, and the New Zealand Courts have non-exclusive jurisdiction.

15. Privacy Policy and Confidentiality:
Unless you opt to receive messages from us, we will not contact you again. We use personal information for providing products and services, administering orders, and as required by law. We may disclose your personal information as required by law. If you provided information to us on a confidential basis, we will hold it in confidence, except as required by law. Our website security is beyond our control. You can request details of your personal information that we hold and ask us to correct it at any time.
